Section 1. Vacancy. In the event that an Executive Council member is absent for three consecutive meetings or resigns before the end of the term, his/her seat may be declared vacant and the Council shall appoint a faculty replacement from the appropriate college (or from part-time faculty). The replacement member shall serve until the next election.
Section 2. Term of Office. Normally, the terms for the president, vice-president and executive secretary will begin with the first Faculty Association meeting of the school year in September. Election of the president, vice-president and executive secretary will be held during the spring quarter of the preceding year.
Council members terms begin in September and are elected during the spring quarter of the preceding year.
Section 3. The Executive Council shall adopt procedures for handling internal complaints concerning members of the Association.
Section 1. Upon appointment to a supervisor/management position, a Faculty Association member shall be automatically terminated from membership and a prorated refund of prepaid dues and/or fees shall be made.
Section 2. In regard to dues and/or fees, each individual concerned with a financial hardship may appeal in writing to the Executive Council for relief.
Section 3. The membership of a former member can continue for one year beyond that member’s last employment in the district if he/she so elects. This person must be otherwise eligible for membership. Dues of a member not currently employed in the district shall be $5 per quarter (excluding summer). Membership will automatically be continued through the summer quarter for all who are members during the preceding spring quarter.
Section 1. Meetings may be called by the following: President of the Executive Council, vice-president of the Executive Council, three Executive Council members, chief negotiator or the executive secretary plus Executive Council member.
Section 2. Quorum. At regular and special Executive Council meetings, a quorum shall be not less than 50 percent of the Executive Council membership.
Section 3. Special Meetings. Notice of time and place of special meetings of the Executive
Council shall be given preferably one (1) week in advance but not less than twelve (12) hours in advance.
Section 4. Meetings will automatically end at 5:30 p.m. unless there is a majority vote to continue.
Section 5. ROBERT’S RULES OF ORDER. Unless otherwise provided for in the Faculty Association Constitution and Bylaws, all meetings shall be conducted according to ROBERT’S RULES OF ORDER.
Section 6. The Executive Council will meet twice a month: The first Wednesday and, tentatively, the third Wednesday of each month. If there are no agenda items, the second meeting will not be held.

Negotiations
Election
Part-time Instructors
Fringe Benefits
Political Action
Grievance/Conciliation
Section 1A. There shall be established the following standing positions:
Budget Analyst
Grievance Officer
Conciliation Officer
Section 2. The chairperson and other members of standing committees shall be appointed annually no later than the first meeting in November by a majority vote of the Executive Council.
Section 3. At least one member of each standing committee shall be an Executive Council member, and members of the Executive Council shall have ex officio status in every committee.
Section 4. The Executive Council shall have the power to replace any member of a standing committee by a majority vote of the Executive council.
Section 5. A copy of committee minutes and an annual report shall be submitted to the Executive Council in written form by the last day of May.
Section 6. Ad Hoc Committees. Ad hoc committees may be initiated, continued, or terminated by a two-thirds majority vote of the Executive Council members present.
Section 7. Each committee shall draw a prospectus of its structure and functions for the Executive Council.
Section 8. All committee actions are subject to approval by the Executive Council.
Section 9. Each year on June 30, ad hoc committees shall automatically terminate unless continued by action of the Executive council.
Section 10. Bylaws governing standing committees shall apply to ad hoc committees where applicable.
Section 1. Changes to these bylaws shall be made in accordance with the provisions of Article IV, Section 2 of the Constitution.
Section 2. The Executive Council of the Foothill-De Anza Faculty Association, by a two- thirds majority vote of its members, adopts these bylaws and in so doing reserves full rights and prerogatives to amend or repeal any or all of these bylaws as established and defined in Article IV, Section 2 of the Constitution.
